A promissory note is a written, signed promise by one person to pay a specific sum of money to another — either on a set date, in instalments, or on demand. It’s the document behind private loans between individuals, family lending, seller financing, and small business advances. The free templates below are editable MS Word files, and beneath them you’ll find sample wording you can adapt, every clause a note should contain, and the difference between secured and unsecured notes.

Note: These templates are general formats, not legal or financial advice. Lending is regulated — most jurisdictions cap interest rates through usury laws, and a note charging above the legal maximum can be unenforceable or expose the lender to penalties. Interest received may also be taxable. For anything beyond a modest private loan, have the note reviewed by an attorney familiar with the rules where you are.

What a Promissory Note Is

A promissory note records one thing: the borrower’s promise to repay. The borrower is the maker; the lender is the payee. The maker signs it, the payee keeps the original, and the note becomes the lender’s evidence of the debt and its terms.

That one-sidedness is what distinguishes it from a loan agreement. A loan agreement is a mutual contract — both parties make commitments, and it typically includes conditions the lender must meet before advancing funds, ongoing covenants, representations, and detailed default machinery. A promissory note is shorter and simpler because only one party is promising anything.

In practice: use a promissory note for a straightforward private loan where the terms fit on a page — money lent to family, a friend, or an employee, or a buyer paying a seller over time. Use a loan agreement where the amount is significant, the terms are complex, or the lender needs ongoing protections. Larger transactions often use both: an agreement setting out the relationship, with a note evidencing the debt itself.

What a Promissory Note Must Contain

Date and place the note is signed.

Names and addresses of the maker (borrower) and the payee (lender).

Principal amount, written in figures and in words. Same safeguard used on cheques: figures can be altered, words can’t.

Interest rate — the annual rate and how it’s calculated (simple or compound, and on what basis). If the loan is interest-free, say so explicitly rather than leaving it blank.

Repayment terms — a single lump sum on a stated date, fixed instalments (amount, frequency, first and last payment dates), or payable on demand.

Maturity date, or a clear statement that the note is payable on demand.

Late payment — any late fee or default interest rate, and after how many days it applies.

Prepayment — whether the borrower may repay early, and whether any penalty applies. Silence here causes arguments; most private notes permit prepayment without penalty.

Acceleration clause — that on default, the entire outstanding balance becomes immediately due, not just the missed instalment. This is the clause that gives a note its force; without it, a lender facing a borrower who stops paying can only chase each instalment as it falls due.

Security — whether the note is secured by collateral, and if so, a precise description of it.

Governing law — which jurisdiction’s law applies.

Signature of the maker, with the date. Witnesses or notarization where your jurisdiction requires or the parties prefer.

Sample Promissory Note Wording

A simple unsecured instalment note. Replace the bracketed details with your own:

PROMISSORY NOTE

Principal: [$5,000.00] Date: [4 September 2026] Place: [City, Country]

FOR VALUE RECEIVED, the undersigned [Borrower’s full name], of [address] (“Borrower”), promises to pay to the order of [Lender’s full name], of [address] (“Lender”), the principal sum of [five thousand dollars ($5,000.00)], together with interest on the unpaid principal at the rate of [6]% per annum, calculated on a simple basis.

Repayment. Borrower shall repay the principal and interest in [12] consecutive monthly instalments of [$430.33] each, commencing on [1 October 2026] and continuing on the [1st] day of each month thereafter until [1 September 2027], when the entire remaining balance shall be due and payable.

Prepayment. Borrower may prepay all or any part of the principal at any time without penalty. Prepayments shall be applied first to accrued interest and then to principal.

Late payment. If any instalment is not received within [10] days of its due date, Borrower shall pay a late charge of [$25 / 5% of the overdue instalment].

Default and acceleration. If Borrower fails to make any payment when due and does not cure within [15] days of written notice, the entire unpaid principal together with accrued interest shall become immediately due and payable at the option of Lender, without further notice or demand.

Costs. Borrower shall pay Lender’s reasonable costs of collection, including legal fees, incurred in enforcing this Note.

Governing law. This Note shall be governed by the laws of [jurisdiction].

This Note is unsecured. Borrower waives presentment and notice of dishonour.

____________________________ Date: ____________
[Borrower’s name], Borrower

____________________________ Date: ____________
Witness (optional, and required in some jurisdictions)

Two details worth keeping whichever template you use: the principal in both figures and words, and the acceleration clause. The first prevents alteration; the second is what turns a series of small missed payments into a single enforceable debt.

Secured and Unsecured Notes

An unsecured note is backed only by the borrower’s promise. If they don’t pay, the lender’s remedy is to sue on the note and then try to enforce a judgment. Simple, and appropriate for modest amounts and people you trust.

A secured note names specific collateral — a vehicle, equipment, inventory, or property — that the lender can claim if the borrower defaults. It needs a precise description of the collateral (make, model, VIN, serial numbers, or legal description), and a statement of the lender’s rights on default.

One caution that matters as much as the wording: in most jurisdictions, simply writing “secured by the borrower’s car” in a note doesn’t by itself give the lender a claim that beats other creditors. Protecting the security usually requires a registration step — a lien noted on a vehicle title, a financing statement filed with a public registry, or a mortgage registered against property. The mechanism varies by country and by the type of collateral, so take advice before relying on security for a loan of any size. The same principle appears with consigned goods: the contract states the interest, but registration is what protects it.

Lending to Family and Friends

The commonest objection to writing a note for a family loan is that it seems distrustful. In practice the opposite is true — most family lending disputes aren’t about dishonesty, they’re about two people remembering different terms in good faith. Was it a loan or a gift? Was there interest? When was it supposed to be repaid?

A one-page note answers all three, permanently, and it costs nothing to make. Three practical habits alongside it: record each payment as it’s made and give the borrower a receipt, keep the original note with the lender, and when the loan is repaid in full, mark the note “PAID IN FULL”, date and sign it, and hand it back to the borrower. That last step closes the matter cleanly and prevents a paid note resurfacing years later.

Frequently Asked Questions

What is a promissory note?

A written, signed promise by a borrower to pay a specific sum to a lender, on a set date, in instalments, or on demand. It records the amount, interest, repayment schedule, and what happens on default.

Is a promissory note legally binding?

Generally yes, when it’s properly made: a clear promise to pay a definite sum, signed by the borrower, with terms that comply with local law — including interest rate limits. Enforceability depends on the note being complete and on the lender being able to produce the original.

What’s the difference between a promissory note and a loan agreement?

A promissory note is a one-sided promise by the borrower and is typically short. A loan agreement is a mutual contract with obligations on both sides, conditions before funds are advanced, and fuller default provisions. Notes suit simple private loans; agreements suit larger or more complex lending.

Does a promissory note need to be notarized?

Usually not required for validity, but notarization or a witness makes the signature far harder to dispute later — and some jurisdictions or lenders require it, particularly for secured notes or property-related loans. Check the rule where you are; if in doubt, notarizing costs little.

What is a secured promissory note?

One backed by collateral the lender can claim on default. It must describe the collateral precisely, and in most places the lender also needs to register or perfect the security interest — a lien on a vehicle title, a public filing, or a registered mortgage — for it to be effective against other creditors.

What happens if the borrower doesn’t pay?

The acceleration clause typically makes the entire balance immediately due after a stated cure period. From there the lender can demand payment, enforce any security, or sue on the note. A well-drafted note also makes the borrower responsible for the lender’s reasonable collection costs.

Can I charge interest on a personal loan?

Usually yes, but rates are capped by usury laws in many jurisdictions, and exceeding the limit can make the note unenforceable or expose the lender to penalties. Interest received may also be taxable income. Check both before setting a rate.
