A bill of lading is the document a carrier issues to a shipper when it takes goods for transport. It records what was collected, sets the terms of carriage, and — depending on the type — can serve as the document of title to the cargo itself. The free templates below are editable MS Word files covering straight and short-form bills of lading, and beneath them you’ll find what each field is for, the difference between the main types, and the thirty seconds at delivery that decides whether a damage claim succeeds.

What a Bill of Lading Actually Does

Three jobs at once, which is what makes it more than a delivery note:

A receipt for the goods. The carrier signs to confirm they received the shipment, in the condition and quantity stated. That signature is the shipper’s evidence the goods were handed over.

Evidence of the contract of carriage. The terms printed on or referenced by the bill — liability limits, freight terms, routing — govern the transport.

A document of title, for negotiable bills. Whoever holds the original can claim the cargo, which means the document itself carries the value of the goods. It’s why original bills of lading are couriered rather than emailed, and why losing one is a serious problem.

Not every bill of lading does all three — a straight bill, the most common in domestic trucking, is a receipt and a contract but not a document of title. Knowing which you’re issuing matters, because it determines who can collect the goods at the other end.

Types of Bill of Lading

Straight bill of lading — non-negotiable, consigned to a named party. Only that party can receive the goods, and the document can’t be transferred. The standard for domestic road freight and for shipments already paid for. The short form version prints the key fields and incorporates the carrier’s full terms by reference rather than printing them in full.

Order bill of lading — negotiable, made out “to order” of a named party. Title transfers by endorsement, so the goods can be sold while in transit. Used in international trade, particularly where payment runs through a letter of credit.

House and master bills — where a freight forwarder is involved, the carrier issues a master bill to the forwarder and the forwarder issues a house bill to the actual shipper. If you booked through a forwarder, the document you hold is usually the house bill.

Through bill of lading — covers a journey using more than one carrier or mode, such as road then sea then road.

Clean versus claused. A clean bill states the goods were received in apparent good order. A claused (or “dirty”) bill records damage, shortage, or defective packaging noted at loading. This distinction has real consequences: under a letter of credit, banks typically require a clean bill, and a claused one can result in payment being refused.

What Goes on a Bill of Lading

BOL number and date.

Shipper — name, address, and contact.

Consignee — who receives the goods. For a straight bill, this party and no other.

Notify party, where different from the consignee.

Carrier name, and vehicle, trailer, or vessel and voyage details.

Origin and destination — place of receipt and place of delivery.

Description of goods — packages, type of packaging, contents, and any shipping marks.

Quantity, weight, and dimensions or cube.

Freight class or NMFC code for US domestic LTL shipments, which determines the rate.

Freight terms — prepaid or collect. See below.

Declared value, where the shipper is declaring one above the carrier’s standard liability limit.

Hazardous materials declaration, where applicable — with the proper shipping name, class, and UN number. This is regulated and not optional.

Special instructions — appointment required, liftgate needed, temperature control.

Signatures — the carrier or driver at pickup, and the consignee at delivery.

The shaded box at the bottom right is the part that matters most, and the reason is in the next section.

Before You Sign at Delivery

When a driver hands over a bill of lading for signature, the signature means the goods arrived in apparent good order. Signing it clean and finding damage afterwards makes a claim considerably harder, because the carrier holds a signed document saying everything was fine on arrival.

Thirty seconds prevents most of that:

Count the packages against the bill before signing. If twelve are listed and eleven arrive, write “11 of 12 received” on the document.

Look at the outside of everything. Crushed corners, torn shrink wrap, water staining, a tilted pallet — note what you see, specifically, in the exceptions box.

Write the exception on the carrier’s copy too, not only yours. A note that exists on one copy is a note the carrier’s records don’t have.

Photograph anything you’ve noted, before the driver leaves if possible, with the packaging still as delivered.

If you can’t inspect properly — the driver is in a hurry, the load is shrink-wrapped to a pallet — write “subject to inspection” rather than signing a bare clean receipt. It isn’t a guarantee, but it’s a great deal better than nothing.

Report concealed damage immediately on discovery, and keep the packaging. Most carriers impose a short window for concealed damage claims, and the packaging is the evidence.

The same applies in reverse when you’re shipping. If a driver notes an exception at pickup, that’s a claused bill, and it can affect payment where a letter of credit is involved — so it’s worth resolving before the vehicle leaves rather than afterwards.

Freight Terms: Prepaid or Collect

One field, and it decides who pays the carrier:

Prepaid — the shipper pays the freight charges. The usual arrangement when the seller is delivering to a customer and freight is built into the price.

Collect — the consignee pays on delivery. Common where the buyer has their own carrier account and better rates.

Third party — someone other than shipper or consignee is billed, which happens with brokered freight and drop-shipping.

Mark it clearly. An unmarked or incorrectly marked bill produces an invoice to the wrong party weeks later, and sorting it out costs more in administration than the freight did.

Bill of Lading, Packing Slip, or Packing List?

The bill of lading is between the shipper and the carrier. It’s the receipt and the contract for transporting the goods.

A packing slip goes in the box for the customer, listing contents so they can check the delivery. No prices, no carrier involvement.

An export packing list breaks an international consignment down package by package with marks, dimensions and weights, for customs and the freight forwarder.

The commercial invoice is the bill to the buyer, and the document customs uses for valuation.

A single international shipment commonly travels with all four, plus a certificate of origin. They should all agree on quantities, descriptions and weights — discrepancies between them are the most common cause of delays at customs.

Frequently Asked Questions

What is a bill of lading?

A document issued by a carrier to a shipper acknowledging receipt of goods for transport. It serves as a receipt, as evidence of the contract of carriage, and — for negotiable types — as a document of title to the cargo.

What is a straight bill of lading?

A non-negotiable bill consigned to a named party. Only that party can receive the goods, and title can’t be transferred by endorsing the document. It’s the standard form for domestic road freight and prepaid shipments.

What is a short form bill of lading?

A version that prints the key shipment details and incorporates the carrier’s full terms and conditions by reference rather than printing them in full. The terms still apply; they’re just published in the carrier’s tariff instead of on the page.

What is the difference between a clean and a claused bill of lading?

A clean bill states the goods were received in apparent good order. A claused bill records damage, shortage, or defective packaging noticed at loading. Under a letter of credit, banks generally require a clean bill, so a claused one can lead to payment being refused.

Who signs the bill of lading?

The carrier or driver signs at pickup to acknowledge receiving the goods, and the consignee signs at delivery to acknowledge receiving them. Both signatures matter — they’re the evidence at each end of the journey.

What should I check before signing for a delivery?

Count the packages against the bill, inspect the outside of the shipment, and write any shortage or damage in the exceptions box before signing — on the carrier’s copy as well as your own. Signing a clean receipt and finding damage later makes a claim much harder.

What is the difference between a bill of lading and a packing slip?

The bill of lading is the contract and receipt between shipper and carrier. A packing slip goes inside the box for the customer, listing what’s in the shipment. They serve different parties and contain different information.

What does “prepaid” mean on a bill of lading?

That the shipper pays the freight charges. “Collect” means the consignee pays on delivery, and “third party” means someone else is billed. Marking this field correctly avoids an invoice reaching the wrong party weeks later.
