What a Membership Certificate Should Include
- Organization name and logo — the issuing body, prominently. This is the element that makes the certificate mean something.
- Title — “Certificate of Membership,” or a specific one such as “Life Membership Certificate” or “Honorary Membership Certificate.”
- Member’s full name — spelled as the member uses it, and checked twice before printing a batch.

LLC Membership Certificates: A Different Document
If you arrived here looking for an LLC membership certificate, that’s a different thing from the club certificates above. An LLC membership certificate evidences a person’s ownership interest in a limited liability company — the LLC equivalent of a share certificate. It isn’t an award; it’s a record of ownership, and it typically states:
- A certificate number and the date of issuance
- The full name of the LLC and its state or country of formation
- The member’s name
- The interest held — a percentage of membership interest, or a number of units
- A reference to the LLC’s operating agreement, and any transfer restrictions it imposes
- Signature of an authorized manager or officer
Two things matter more than the layout here. First, membership certificates must match what your operating agreement says — the agreement, not the certificate, governs ownership, and many LLCs are “uncertificated” and issue no certificates at all. Second, transfer restrictions are usually printed on the certificate itself because LLC interests generally can’t be sold freely.
